These Terms of Service (“Terms”) govern your access to and use of the Ming platform operated by Ming (“we,” “us,” or “our”) at hireming.com (the “Service”). By creating an account or using the Service, you agree to these Terms.

The service

Ming is an AI-powered revenue operations platform for ecommerce businesses. The Service provides AI specialists that analyze your business data and provide recommendations, insights, and reports to help grow your revenue.

Account registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized use of your account.

Each account is associated with a single business entity (tenant). You may not share account access with individuals outside your organization without our consent.

Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to violate any applicable law or regulation
• Attempt to access another tenant's data or circumvent data isolation controls
• Reverse engineer, decompile, or attempt to extract the source code or AI prompts of the Service
• Use the Service to send spam, phishing, or other unsolicited communications
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to probe, scan, or test the vulnerability of the Service without authorization

Third-party integrations

The Service connects to third-party platforms (Shopify, Klaviyo, Google, etc.) using credentials you provide. You represent that you have the authority to grant Ming access to these accounts. You are responsible for complying with the terms of service of each third-party platform.

We are not responsible for the availability, accuracy, or functionality of third-party services.

AI-generated content and recommendations

The Service uses artificial intelligence to analyze data and generate recommendations. While we strive for accuracy, AI-generated content may contain errors. You acknowledge that:

• AI recommendations are advisory in nature and do not constitute professional financial, legal, or business advice
• You are responsible for reviewing and approving any actions before they are executed
• We do not guarantee specific business outcomes from following AI recommendations
• The AI's analysis is limited to the data available through your connected integrations

Data and intellectual property

Your data: You retain ownership of all business data you provide or that is synced from your connected integrations. We claim no ownership over your data.

Our service: The Service, including its AI models, playbooks, algorithms, design, and code, is our proprietary intellectual property. You may not copy, modify, distribute, or create derivative works based on the Service.

Feedback: If you provide feedback or suggestions about the Service, we may use that feedback without obligation to you.

Payment and billing

Pricing and billing terms will be communicated separately. We reserve the right to change pricing with 30 days' notice.

Limitation of liability

To the maximum extent permitted by law, Ming shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Termination

You may close your account at any time. We may suspend or terminate your access if you violate these Terms or for any other reason with 30 days' notice (or immediately for violations of acceptable use).

Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days of account closure, unless retention is required by law.

Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
